Zendra HR provides professional services including, but not limited to, recruitment, human resources, consulting, workforce planning, compliance support, policy development, and strategic advisory. All services are subject to individual agreements, proposals, or scopes of work provided to clients.

2. Intellectual Property

All content on this website including but not limited to text, logo, graphics, documents and templates is the property of Valric Group Pty Ltd trading as Zendra HR and is protected by Australian copyright law. No part of this website may be reproduced, distributed, or used without written permission.

3. Disclaimer

While we strive to provide accurate, timely, and high-quality information, Zendra HR makes no guarantees regarding the reliability, completeness, or accuracy of content on this website or in associated communications. Information provided is general in nature and should not be considered legal, financial, or professional advice.

7. Cancellations and Changes to services

Once a service has been confirmed in writing (e.g. a job advertisement, recruitment campaign, or HR engagement), any cancellation or request to change the service may result in a partial fee being charged for work already commenced.

Third-party advertising costs (e.g. job boards or platforms) are non-refundable once incurred.

All changes or cancellations must be made in writing.

8. Amendments

Zendra HR reserves the right to update or change these Terms and Conditions at any time. Any changes will take effect immediately upon publication on this website. Continued use of the website after changes are made constitutes your acceptance of the new terms.

9. Governing Law

These Terms and Conditions are governed by the laws of New South Wales, Australia. Any disputes will be handled by the courts of this jurisdiction.

10. Client Engagement Terms

10.1 Engagement & Scope

These terms apply to all client services provided by Zendra HR. Each engagement is confirmed through a written scope of work or proposal. Work outside the agreed scope may attract additional fees, which will be discussed and agreed prior to proceeding.

10.2 Fees & Payment

Unless otherwise stated, all fees are exclusive of GST. Payment is due within the agreed timeframe (typically 14 days from invoice date). Late payments may result in additional fees or suspension of services. Deliverables remain the property of Zendra HR until payment is received in full.

10.2a Upfront Engagement Fee

For recruitment services, a non-refundable upfront engagement fee of $1,000 + GST is payable prior to the commencement of any campaign. This fee covers advertising (e.g. SEEK, EthicalJobs), candidate sourcing, administration, and campaign setup.
If a placement proceeds, this fee will be deducted from the final recruitment invoice, as outlined in the proposal or scope of work.

10.2b Re-advertising or Project Delays

If the recruitment process is delayed by more than 30 days due to client changes, role adjustments, or candidate withdrawal, Zendra HR may apply additional advertising or service fees to recommence the campaign. Any such fees will be discussed and agreed upon in writing before proceeding.

10.2c Early Termination by Client

If the client terminates the recruitment process after the engagement has commenced but before a placement is made, the upfront engagement fee remains non-refundable. Zendra HR reserves the right to invoice for any additional time or work undertaken beyond the engagement fee on a pro-rata or hourly basis.

10.2d Definition of Placement

A successful placement is defined as any offer of employment (permanent, contract, casual, or temporary) that is accepted by a candidate introduced by Zendra HR within 12 months of the initial introduction. This includes direct or indirect hiring by the client or a related entity. Placement fees apply regardless of the employment type, unless otherwise agreed in writing.

10.3 Candidate Introductions

Candidate details shared during recruitment processes are confidential and may not be disclosed to third parties without permission. Clients agree that any candidate engaged within 12 months of introduction will be subject to the agreed recruitment fee.

10.4 Confidentiality

Zendra HR and the client agree to maintain confidentiality regarding all candidate data, business operations, or sensitive project information. This obligation remains after the engagement ends.

10.5 Intellectual Property

All original materials, templates, and tools provided by Zendra HR remain the intellectual property of Valric Group Pty Ltd unless otherwise agreed. Clients are granted a non-exclusive licence to use them internally for business purposes.

10.6 Dispute Resolution

In the event of a dispute, both parties agree to seek resolution in good faith. If unresolved, the matter may be referred to mediation under the laws of New South Wales.
